Cornerstone Performance Solutions MAP PRICING POLICY
Effective January 1, 2020

Cornerstone Performance Solutions has adopted the following Minimum Advertised Price Policy (“MAP Policy”) for all CPS Premium Auto, Accessories distributed by CPS's Authorized Resellers. CPS's goal in establishing the new MAP Policy is to ensure that the product line has sufficient margin to ensure the brand’s quality image is kept at a premium level. CPS acknowledges that any distributor or retailer is free to sell or advertise any CPS product at any price; However, non compliant Dealer’s account could be suspended due to continuous non-compliance. CPS will monitor this MAP policy, and CPS will enforce violations of this policy as follows:

1. The minimum advertised price (“MAP”) shall be the price designated as the MAP on the current CPS Jobber price list as issued by CPS, and will be attached for your convenience. Current price lists may be obtained by contacting CPS directly. CPS will send out notifications of any.
changes to this policy to dealers who purchase product directly from CPS.

2. This MAP Policy applies to any and all forms of print and electronic media, direct mail, and audio/video communications.

3. CPS considers any price advertised below the MAP a violation of its MAP Policy. 

 For example, if a product with a Jobber Price of $505.11 is advertised below
$454.60, it would be considered a violation of the MAP Policy because the MAP
Price is $454.60 or 10% off current Jobber price. Freight/shipping can be included in the selling price of the item if reseller wishes, to include.

4. Advertising two or more CPS products for sale at a priceless than the combined
MAPs for each Covered Product is a violation of this MAP Policy.

5. The MAP Policy only applies to advertised prices and not the prices at which they are actually sold. The dealer is free to resell CPS accessories at the price they choose.

6. Cornerstone Performance Solutions reserves the right to modify, suspend, or cancel the MAP Policy at any time.
Cornerstone Performance Solutions will provide notice of any such modifications, suspensions or cancellations. It is
the responsibility of each member of CPS's direct distribution network to distribute these
changes to third party dealers which purchase through them.

7. The terms of this MAP Policy are confidential and should not be disclosed to other
parties.

8. If a dealer advertises prices below those required by this MAP Policy, Cornerstone Performance Solutions will take
appropriate action to enforce this MAP Policy, including but not limited to one or more of the following actions:

  •  First Violation: Dealer will be served with the violation notice via email with a takedown notice of the non-compliant advertisement and a reminder of Cornerstone Performance Solutions MAP Policy. Dealer will have 72 hours to comply with this notice before they are subject to a second violation.
  •  Second Violation or Non-Compliance of First Violation: 2nd notice to be served to the Dealer via email. Dealer will have 48 hours to comply with this notice before they are issued a third violation.
  • Third Violation or Non-Compliance of Second Violation: Dealer account will be placed on “hold” for a period of 7 calendar days, meaning that during this time dealer will not be able to place new orders, and CPS will not ship orders that are currently due. Dealers will have this seven-day period to correct MAP pricing violations, before being subject to a Fourth Violation notice. Upon confirmation that the MAP pricing violation(s) has/have been corrected, CPS will remove the “hold” status from said dealers account.
  •  Fourth Violation or Non-Compliance of Third Violation: Dealer’s account will be placed on “hold” for a period of 30 calendar days, meaning that during this time said dealer will be not be able to place new orders, and CPS will not ship orders that are currently due. Dealer will have this thirty-day period to correct MAP pricing violations, before being subject to their final Violation notice. Upon confirmation that the MAP pricing violation(s) has/have been corrected, CPS will remove the “hold” status from the customer's account.
  •  Final Violation or Non-Compliance of Fifth Violation–OR- Should a dealer violate this policy four (4) times in a rolling 12-month period: Dealer will be suspended for 1 years time (12 months) in which they will be unable to ship or place orders.
